COMMERCIAL LICENSE AGREEMENT

Agency License Agreement

This Agency License Agreement (“Agreement”) is a legally binding contract between DevBase (“Licensor”, “we”, “us”) and the purchasing entity (“Licensee”, “you”, “Agency”). This Agreement governs the commercial usage of the software products, source code, documentation, and related materials provided by DevBase.

1. Purpose of the Agency License

The Agency License is specifically designed for software development agencies, IT service providers, startups, and professional teams that build applications for multiple clients or commercial ventures. This license allows the Licensee to use the product as a reusable foundation for delivering multiple client projects efficiently.

2. Scope of License Grant

Upon successful purchase, DevBase grants the Licensee a non-exclusive, non-transferable, commercial license to use, modify, and deploy the product for an unlimited number of client or internal projects, subject to the terms of this Agreement.

3. Permitted Commercial Usage

  • Develop and deploy unlimited applications for multiple clients
  • Customize, modify, and extend the source code
  • Charge clients for development, deployment, and maintenance services
  • Use the product as a base for SaaS or commercial platforms
  • Host applications on your own or third-party infrastructure

4. Ownership & Intellectual Property Rights

All original intellectual property rights, including but not limited to source code, architecture, documentation, and branding elements, remain the exclusive property of DevBase. This Agreement does not transfer ownership of the product to the Licensee.

5. Client Deliverables & Distribution

The Licensee may deliver compiled applications, hosted services, or completed projects to end clients. However, distribution of the raw source code, documentation, or internal tools to clients is strictly prohibited unless explicit written permission is granted by DevBase.

6. Prohibited Activities

  • Reselling, sublicensing, or redistributing the product as a standalone item
  • Publishing source code on public or private repositories
  • Sharing the product with third parties outside your organization
  • Claiming authorship or ownership of the original software
  • Removing copyright or license references

7. Support, Updates & Maintenance

Agency License holders may receive priority support and updates as specified at the time of purchase. Support includes bug fixes related to the original product but does not include custom feature development or project-specific assistance unless agreed separately.

8. Compliance & Audit Rights

DevBase reserves the right to request reasonable confirmation of license compliance. In cases of suspected misuse, we may audit usage patterns to ensure compliance with this Agreement.

9. Termination of License

Violation of any clause in this Agreement may result in immediate termination of the license without refund. Upon termination, all usage of the product must cease, and deployments must be discontinued where applicable.

10. Limitation of Liability

The product is provided “as is” without warranties of any kind. In no event shall DevBase be liable for any indirect, incidental, or consequential damages arising from the use of the product.

11. Legal Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in India.

Important Notice: The Agency License is strictly for professional agencies and teams working on multiple projects. Individual developers working on a single project must purchase the Individual License. Misuse may result in permanent license revocation.
